End-User License Agreement

This End-User License Agreement ("EULA") governs the use of the Visamic software provided by Steema Software SL.

1. License Grant

   1. Subject to your compliance with the terms of this EULA, Steema Software SL grants you a limited, non-exclusive, non-transferable, revocable license to use the Visamic software.
   2. This license is for the sole purpose of enabling you to use and enjoy the benefits of the Visamic software, in accordance with the terms of this EULA.

2. Restrictions

   1. You may not:
      • Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Visamic software.
      • Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Visamic software to any third party.
      • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices displayed in or on the Visamic software.

3. Intellectual Property Rights

   1. The Visamic software and all intellectual property rights therein are and shall remain the exclusive property of Steema Software SL and its licensors.
   2. This EULA does not grant you any rights to use the trademarks, trade names, service marks, logos, domain names, or other distinctive brand features of Steema Software SL.

4. Termination

   1. This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from Steema Software SL if you fail to comply with any term(s) of this EULA.
   2. Upon termination of this EULA, you shall cease all use of the Visamic software and destroy all copies, full or partial, of the Visamic software in your possession or control.

5. Disclaimer of Warranty

   1. THE VISAMIC SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STEEMA SOFTWARE SL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

   1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STEEMA SOFTWARE SL OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY DAMAGES WHATSOEVER, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE VISAMIC SOFTWARE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF STEEMA SOFTWARE SL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Governing Law

   1. This EULA shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions.
